Cathopic License Agreement
Effective from April 23, 2024
Definitions
"Licensor": Cathopic, the owner and operator of the online platform that distributes digital content.
"Licensee": Any registered user who agrees to these terms to access and use the content available on Cathopic.
"Content": Includes images, photographs, videos, designs, and drawings offered on the Cathopic platform.
Grant of License
Cathopic grants the Licensee a non-exclusive, non-transferable, and revocable license to download, use, and modify the Content for personal and commercial purposes, subject to the limitations and restrictions set forth in this agreement. This license is neither transferable nor sublicensable.
Permitted Uses
Personal and Commercial Uses: The Licensee is authorized to employ the Content in a variety of personal and commercial projects, including marketing, advertising, and promotions. It is crucial to understand that the right to use the Content is conditioned upon the existence of an active subscription. Should the subscription expire or be canceled, the Licensee may not reuse the Content or distribute it until the Licensee renews or reactivates their subscription. However, it is not necessary to remove the Content from projects in which it was legitimately used while the subscription was active.
Creation of Derivative Works: The Licensee is authorized to alter or transform the original Content to develop new and distinct works. These derivative works may be used for any purpose originally permitted for the Content, always respecting the terms of this license.
Limitations
Resale Products: The Licensee is permitted to include Cathopic Content in products for public sale, such as printed materials (books, magazines, posters) or digital products (applications, electronic games). However, the Content must not be the most prominent or principal reason for purchasing the product. This means that while the Content can be used to add aesthetic or informational value to a product, it should not be the decisive factor motivating customers to purchase the product. For example, a t-shirt with a design where an image from Cathopic is just a small detail among other more dominant graphic elements meets this condition, while a t-shirt whose main and most visible design is an image from Cathopic would not.
Prohibition on Sub-licensing and Transfer: The Licensee may not sublicense, transfer, or assign rights over the Content to third parties.
Respect for Third-Party Rights: The use of the Content must not infringe copyright, trademarks, privacy, publicity, or any other intellectual or personal property rights of third parties.
Prohibition of Download and Upload to Other Platforms: Downloading content from Cathopic for the purpose of uploading or sharing it on other content platforms is not permitted. Cathopic's Content is intended to be used exclusively within the framework and conditions established by the Cathopic license, and its redistribution on other websites or content repositories is strictly prohibited without the express written consent of Cathopic.
Sensible Use: The Content must not be used in a manner that is offensive, defamatory, pornographic, or illegal, nor in a way that suggests endorsement or sponsorship by Cathopic without prior authorization.
Ownership and Copyright
The Licensee acknowledges that all copyright and other intellectual property rights associated with the Content are owned by the Licensor. This license does not confer any ownership rights over the Content to the Licensee, beyond the rights of use specifically granted under this agreement.
Termination
The Licensor may terminate this license at any time if the Licensee fails to comply with the terms set forth herein. Upon termination, the Licensee must cease all use of the Content and delete all copies of it.
Indemnification
The Licensee shall indemnify and hold the Licensor harmless from any claims or demands that arise from the use of the Content that does not adhere to the terms of this license.
Applicable Law and Jurisdiction
This agreement shall be governed by and construed in accordance with the laws of the Licensor's country of origin. Any disputes related to this agreement shall be resolved in the competent courts of that country.
