API License

Effective as of December 1, 2025

This Agreement governs access to and use of the Cathopic API when the Client obtains credentials to integrate the Content into its own application and allows its End Users to utilize it exclusively within digital environments (web, blogs, newsletters, emails, or other online media), in web and email optimized resolution. The Client acquires no right whatsoever that would permit its End Users to download original files, in high resolution, or to use them outside the permitted digital environment.

This API License Agreement (the "Agreement") sets forth the terms under which Dimconex Media, S.L. ("Cathopic") grants to Licensee a limited license to access and use Cathopic's application programming interface ("API") and the content accessible therethrough ("Content") within the application, platform, or service controlled by Licensee ("Licensee Application").

Access to or use of the API constitutes full acceptance of this Agreement.

Definitions
  • "API": The endpoints, services, documentation, SDKs, and any technical resources provided by Cathopic to access the Content.
  • "Content": Photographs, illustrations, graphics, videos, metadata, and other digital assets available through the API.
  • "Licensee": The natural person or legal entity that integrates and uses the API.
  • "Licensee Application": The website, application, or platform that implements the API.
  • "End User": Any person or organization that accesses the Content through the Licensee Application.
  • "Day of Use": Each calendar day on which an End User accesses a specific item of Content.
  • "Email Use": Each email message that incorporates Content.
  • "API Credentials": Keys or tokens that enable authenticated access to the API.
  • "Creator": The original copyright holder of the Content.
  • "Economic Rights": Rights granted to Cathopic by the Creators to license the Content.
Grant of License
Scope of License

Cathopic grants to Licensee a limited, non-exclusive, revocable, non-transferable, and non-sublicensable license exclusively to:

  1. Integrate the API into the Licensee Application;
  2. Enable End Users to view Content within digital environments supported by the Application (web, blogs, emails, and other equivalent online media);
  3. Display Content solely in resolution optimized for web or email.
License Limitations

The license does not authorize:

  1. The download, export, or making available of original or high-resolution files;
  2. The use of Content outside web and email environments;
  3. The reproduction of Content in print materials, physical materials, or offline media;
  4. The incorporation of Content into products intended for distribution or sale.

The license is strictly limited to public communication or digital display within the Licensee Application by its End Users, without transfer of additional rights. The license is expressly limited to the permitted digital use and does not confer rights of reproduction, distribution, transformation, or exploitation outside what is specified in this Agreement.

Permitted Uses
Preliminary Use with Watermark

Content provided by the API shall be initially displayed with a watermark for all End Users. This watermarked version:

  1. May only be used for testing, preview, or trial purposes within the Licensee Application;
  2. Shall not generate charges for Licensee while it remains in "watermarked" status;
  3. May not be used in final public environments except as a controlled preview.

When an End User decides to use an item of Content without watermark, Licensee must record such acceptance in its system and request from the API the watermark-free version. From that moment:

  1. Usage counting and billing shall commence pursuant to the applicable model (Days of Use or Email Use);
  2. Licensee must store in its database the URL of the watermark-free Content for auditing, billing, and for serving such URLs to its End Users.

If the End User ceases to use an item of Content, Licensee must:

  1. Immediately delete the watermark-free file URL from its database;
  2. Cease any presentation of the watermark-free Content to the End User;
  3. Revert, as applicable, to displaying the watermarked Content if the End User requires future preview.
Digital Display in Licensee Application

Licensee may permit End Users to access and view Content exclusively within the digital environments comprising the Licensee Application, including:

  1. Websites and public or private pages managed by the Application;
  2. Blogs, content management systems, and online editors connected to the Application;
  3. Interfaces, modules, or predefined templates that allow embedded Content incorporation;
  4. Any visual section where Content is displayed solely through links served by the API or through temporary cache storage.

Content shall be provided in web-optimized resolution, sufficient for digital use, but not suitable for download, printing, or offline uses.

Use in Electronic Communications

Licensee may permit End Users to incorporate Content in electronic communications, including:

  1. Newsletters sent from the Application;
  2. Transactional or informational emails generated through the Application;
  3. Email marketing campaigns created through the Application's own modules.

Content inserted in such emails must remain within the technical limitations of web/email resolution and may not include links that enable download of original files.

Integration via Web Embeds

Licensee may permit End Users to use Content through permitted embedding methods, provided that:

  1. Content remains hosted on Cathopic's systems or in temporary cache under service rules;
  2. No direct URLs are provided that would allow obtaining original files;
  3. No functionality is enabled that permits local downloads or Content extraction.
Strict Limitation of Use Scope

Permitted uses are strictly limited to:

  1. On-screen display (digital display);
  2. End User's internal digital editorial use within the Application;
  3. Controlled digital distribution via web and email.

Under no circumstances may End Users:

  1. Export Content as a file;
  2. Use it on social networks from local download (only permitted through integrations that do not involve downloaded files);
  3. Print it, transform it, manipulate it, or incorporate it into products or materials outside the digital environment.
Restrictions and Prohibited Uses

Licensee shall not, directly or indirectly:

  1. Use Content to train, fine-tune, or feed AI/ML models or create embeddings, datasets, or derivative extracts.
  2. Download, store, or make available Content as an independent file.
  3. Modify, alter, or create derivative works from Content.
  4. Use Content in print, offline advertising, or physical products.
  5. Incorporate Content into products intended for resale or redistribution.
  6. Provide access to Content outside the Licensee Application.
  7. Share, expose, or publicly integrate API Credentials.
  8. Circumvent technical controls applied by Cathopic.
  9. Use Content for unlawful, abusive purposes, or in ways that infringe third-party rights.

The AI/ML restriction survives indefinitely after termination of this Agreement.

Intellectual Property
Creator Rights

Creators retain all of their copyright and moral rights.

Cathopic Rights

Cathopic acts as authorized licensor, holder of the Economic Rights conferred by the Creators.

Licensee Rights

Licensee acquires solely a limited use license pursuant to this Agreement, without transfer of intellectual property rights.

Fees, Usage, and Billing
Web Use

Shall be calculated based on Total Days of Use, multiplied by the negotiated monthly rate divided by thirty (30). A monthly billing cap shall apply when applicable.

Email Use

Billing shall be conducted per Email Use according to the negotiated rate, with a monthly cap also applying when applicable.

Billing and Payments
  1. Invoices shall be issued monthly within the first ten (10) days of the month.
  2. Payment shall be processed exclusively through Stripe.
  3. In the event of payment failures, four (4) retry attempts shall be made. If non-payment persists, API access shall be suspended.
Consequences of Non-Payment

Non-payment may result in interest charges, service suspension, and termination of this Agreement.

Licensee Obligations
Security and Control

Licensee shall:

  1. Protect its API Credentials;
  2. Prevent downloads, exports, or unauthorized access to Content;
  3. Implement HTTPS and reasonable security measures;
  4. Maintain access logs for Content.
Obligations to End Users

Licensee shall include in its Terms of Use:

  1. Prohibition against downloading or using Content outside the Application;
  2. Express prohibition of use for AI/ML;
  3. Acknowledgment of Content intellectual property ownership;
  4. Notice of usage tracking.
Rights Claims
Investigation

Upon a third-party rights claim, Cathopic shall investigate the matter within a maximum of ten (10) business days.

Remedies

If the claim is valid, Cathopic may:

  1. Replace the Content;
  2. Offer monetary compensation;
  3. Take combined measures at its discretion.
Limitation of Liability

In the event Cathopic is liable for breach of rights, Licensee's compensation shall be limited to the lesser of:

  1. A fixed payment of five hundred U.S. dollars (USD $500); or
  2. The amount invoiced to Licensee in the prior month.

Payment shall be made through the banking method indicated by Licensee.

Disclaimer of Warranties

THE API AND CONTENT ARE PROVIDED "AS IS," WITHOUT WARRANTIES OF AVAILABILITY, ACCURACY, OR FITNESS FOR A PARTICULAR PURPOSE.

Limitation of Liability

CATHOPIC SHALL NOT BE LIABLE FOR INDIRECT, CONSEQUENTIAL DAMAGES, LOSS OF PROFITS, OR BUSINESS INTERRUPTION.

Term and Termination

This Agreement shall have an initial term of twelve (12) months and shall automatically renew for successive twelve (12) month periods, unless prior notice is provided.

Cathopic may terminate immediately upon serious breaches, including use for AI/ML or non-payment.

Upon termination, Licensee must cease use of the API and remove Content pursuant to a reasonable transition period of thirty (30) days.

Indemnification

Licensee shall indemnify Cathopic against claims arising from:

  1. Breaches of this Agreement;
  2. Unauthorized use of Content;
  3. Legal violations;
  4. Integration or operation of Licensee Application.
Confidentiality

Both parties shall maintain confidential all technical or commercial information exchanged pursuant to this Agreement. This obligation shall survive termination.

Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of Madrid, Spain, unless the parties agree otherwise in writing. Any dispute arising hereunder shall be submitted exclusively to the competent judges and courts of Madrid. Cathopic may resort directly to judicial authorities for interim measures related to intellectual property or security.

Acceptance

Continued use of the API constitutes full and binding acceptance of this Agreement by Licensee.
